1. Acceptance of Terms

By accessing or using the website of Glimpse Solutions (“we,” “us,” or “our”) and our services, you (“User” or “Client”) agree to be bound by these Terms of Service (the “Terms”) and all applicable laws and regulations. If you disagree with any part of these Terms, you must not use our website or services.

2. Intellectual Property (IP)

A. Website Content Ownership

All content on the Glimpse Solutions website, including but not limited to, the logo, trademarks, text, graphics, images, design, code, and software, is the exclusive property of Glimpse Solutions and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our express written permission.

B. Client Work Ownership (Custom Solutions and IP Transfer)

Glimpse Solutions is a work-for-hire provider. Unless explicitly stated otherwise in a separate, written, and signed Client Service Agreement or Project Contract:

1. Transfer of Ownership: Upon final payment in full by the Client for the specific project, Glimpse Solutions transfers all Intellectual Property rights, title, and interest in the custom code, software, digital strategies, and other digital materials specifically developed for that Client under the terms of the service agreement.
2. Client Responsibility: The Client assumes full ownership and responsibility for the use and licensing of all third-party components, stock images, or proprietary software incorporated into the final solution at the Client’s direction.
3. Glimpse Solutions Rights: We retain the right to use our general knowledge, tools, and non-client-specific proprietary methodology developed during the course of the project for other clients, provided we do not disclose the Client’s confidential information.

3. Service Scope

Glimpse Solutions offers professional IT solutions and consulting services, including, but not limited to: Web Development, Software Engineering, IT Consulting, and Digital Strategy development.

Disclaimer Regarding Guarantees: While we strive for excellence, Glimpse Solutions provides services on an “as-is” and “as available” basis. We do not guarantee that our services will meet your specific requirements, be uninterrupted, timely, secure, or error-free. Any projected outcomes are estimates based on available data and are not binding guarantees of success.

4. User Conduct

You agree to use the Glimpse Solutions website and services only for lawful purposes. You must not:

• Engage in any illegal activity or violate any local, state, national, or international law.
• Transmit any unsolicited advertising or “spam.”
• Upload or distribute any content that is harmful, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to interfere with or disrupt the security or integrity of our website, systems, or data.
• Attempt to gain unauthorized access to any portion of our website or services.

5. Limitation of Liability

To the fullest extent permitted by law, Glimpse Solutions, its affiliates, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the website; (ii) any conduct or content of any third party on the website; (iii) any content obtained from the website; and (iv) unauthorized access, use, or alteration of your transmissions or content.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. You agree that any dispute or claim arising out of or in connection with these Terms or the services provided by Glimpse Solutions shall be subject to the exclusive jurisdiction of the competent courts located in Lagos State, Nigeria.
